Terms of Sale and Use

1. Who we are and who these terms are for

lassocut ("we", "us") is operated by JAUPIN Design LLC, a company licensed in the United Arab Emirates under licence no. 2430614.01 issued by Sharjah Media City (Shams) Free Zone Authority, with its registered address at Shams Business Center, Sharjah Media City Free Zone, Al Messaned, Sharjah, United Arab Emirates. These terms govern the lassocut website, customer account, application programming interface ("API"), command-line tool and any other lassocut service (together, the "Service").

The Service is sold to businesses only. By creating an account or buying credits you confirm that you act for a business, trade, craft or profession, and not as a consumer. We do not sell to consumers. If you are a consumer, please do not buy credits.

By using the Service or ticking the acceptance box at checkout, you accept these terms on behalf of your business. If you do not accept them, do not use the Service.

2. Your account and API keys

  • You sign in with a GitHub or Google account. You must give accurate information and keep it up to date.
  • One person or organisation may hold one account. Creating several accounts to obtain more free calls is not allowed.
  • API keys are secret. Keep them out of public code and client-side applications. You are responsible for all use made with your keys until you delete them in your account. Delete a key immediately if you think it has leaked.
  • You must be at least 16 years old and authorised to bind your business.

3. Credits, free calls and prices

  • Processing an image uses credits: 1 credit for a full-size or 50-megapixel result, 0.25 credit for a preview. The number of credits charged is returned with every result (X-Credits-Charged).
  • Each account receives 50 free calls per calendar month, for preview-size results only. Unused free calls do not carry over. We may change or end the free calls for new periods with notice on the website.
  • Purchased credits do not expire while your account is open.
  • Prices are shown and charged in US dollars (USD). Payments are processed by Stripe; we never see or store your card number.
  • Credits have no cash value, cannot be transferred to another account and are used only for the Service.
  • An API call that returns an error is not charged.

4. Taxes and invoices

We are not registered for value added tax (VAT) in the United Arab Emirates and do not charge VAT. Where the law of your country requires it, you account for any VAT or similar tax on your purchase yourself (for example under the reverse-charge procedure). You may enter your VAT number at checkout; it is shown on your receipt. Stripe sends a receipt to the email given at checkout.

5. Refunds

  • 14-day refund of unused credits. Within 14 days of a purchase you may ask for a refund of the credits of that purchase you have not used. We refund the unused share of the price paid, in proportion to the credits used.
  • Faulty results. If a result is clearly defective (for example the subject is missing), send us the request details within 30 days and we will restore the credits used.
  • If we close the Service, we will give at least 90 days' notice by email and on the website, and refund the unused share of credits bought in the 24 months before the notice.
  • Refunds are paid to the original payment method, usually within 10 business days. Write to contact@lassocut.com.
  • If you dispute a payment with your bank (chargeback) without contacting us first, we may suspend the account until the dispute is resolved.

6. Acceptable use

You must not use the Service, or let anyone use it through you, to:

  • process content that is illegal, including child sexual abuse material, intimate images of a person without their consent, or content that infringes someone else's intellectual property, privacy or image rights;
  • harass, defame or deceive people, or create misleading content presented as real;
  • overload, probe or attack the Service, bypass its limits or security, or send malware;
  • reverse engineer the Service or its models, or collect its outputs to train a competing model;
  • resell raw access to the API as a competing background removal service without our written agreement (building your own product that uses the API is allowed);
  • share an account between unrelated businesses or create accounts automatically.

We apply rate limits and may block requests that harm the Service. We may suspend or close an account that breaches this section, with notice when the breach can be remedied, and immediately for illegal content or security threats. We report child sexual abuse material to the competent authorities.

7. Your images and results

  • You keep all rights in the images you send and in the results. You confirm you have the right to process them.
  • You give us only the limited permission needed to process each image and return the result.
  • Images sent to the processing endpoints are handled in memory and deleted once the result is returned. We do not use them to train models.
  • Images you choose to send to the /improve endpoint are kept to improve our models; by sending them you give us a non-exclusive, worldwide, royalty-free licence to store and use them for that purpose. You can ask us to delete them at any time.

8. Availability and changes

  • We work to keep the Service available and fast, but we do not guarantee uninterrupted availability or a specific response time. Planned maintenance is announced when possible.
  • Results are produced by machine-learning models and may not be perfect. Check them before relying on them.
  • We may improve or change the Service. We will give at least 30 days' notice of any change that removes a documented API feature you rely on, or of a material change to these terms. Continuing to use the Service after that date means you accept the change; if you do not, you may stop and request a refund of your unused credits.

9. Liability

  • The Service is provided "as is" and "as available". To the extent the law allows, we exclude all warranties not stated in these terms.
  • Our total liability for all claims in any 12-month period is limited to the amount you paid us in that period.
  • We are not liable for indirect or consequential loss, loss of profit, revenue or data, or for losses caused by events beyond our reasonable control.
  • Nothing in these terms limits liability that cannot be limited by law, including for fraud or gross negligence.
  • You will compensate us for claims by third parties arising from images you process or from your breach of section 6.

10. Ending the contract

You may stop using the Service and ask us to close your account at any time. We may end the Service for your account with 30 days' notice, and refund your unused credits, or immediately under section 6. Sections 5, 7, 9 and 11 survive termination.

11. Law and disputes

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah. The courts of Sharjah have jurisdiction. Before going to court, please write to us: most issues are solved within days. Mandatory rules of the law of your country that cannot be excluded by contract continue to apply.

These terms are written in English; any translation is for convenience only. If a clause is invalid, the rest remains in force.
